This private general family dentist practice represents a fantastic turnkey opportunity for a new owner to acquire a very successful and cash flow positive business with great opportunities for growth by increasing hours and services. The business has been operating as a sole proprietary operation in southwest Missouri since the current owner first opened its doors in 1974. The business operates out of two locations, a main office and satellite office, and in addition to being a general practice offers specialty services in fixed, removable and Invisalign orthodontics. The full range of general dentistry services include, but are not limited to; preventative procedures such as fluoride treatments, exams, and sealants, cleanings, extractions, restorative fillings, crowns, bridges, dentures, partials, and placement and restorative procedures for implants. The practice also offers some cosmetic dental services such as bonding’s, porcelain veneers and teeth whitening. They pride themselves on offering a quality service to their client base and the practice experiences over 2,100 patient visits (active clients) in a calendar year with an average of 20 new patients seen per month. The practice is well respected in the two communities it serves as is evidenced by the high percentage of repeat business and constant referrals for orthodontic work that the business generates. The owner dentist would like to retire within the next 3 years and is willing to stay on in some negotiated capacity (ranging from co-owner to consultant) to mentor and help transition the business to a new owner for an agreed upon period of time. The current owner operates 4 days per week (Monday to Thursday) with the occasional patient exception on a Friday in the main office and 1 day a week at the satellite location. Both locations come equipped with two fully functional operatories and offer the same services … the main office is also equipped with nitrous. The practice comes equipped with up-to-date modern equipment, has a fully computerized business-suite, and is virtually paperless utilizing electronic charts with almost all paper documents electronically integrated. It utilizes digital radiography and has panoramic and cephalometric capabilities. Having a state of the art Biolase Waterlase MD Laser also provides the practice with a competitive advantage in the mostly rural community in which it operates. Other equipment includes; a hard and soft tissue laser, NuCalm a new state of the art noninvasive relaxation modality. The sale would include all of the assets, equipment, supplies and a well-established patient list. The building in the main office is leased and the owner assures the buyer that the landlord will continue to offer a long-term lease (5 year minimum term). The satellite office premises are owned by the owner who would prefer that these assets transfer with the business. Aside from the owner, the practice currently employs four “expanded duty” certified and three sedation certified staff members. The owner is a long-time supporter of the expanded function assistant rules in Missouri and patients appreciate this. The owner does not employ a hygienist at this time. The practice has a total of 4,300 patient files and more than 2,100 active patients implying that the average revenue per active patient is ~$235. Revenues have consistently hovered around the $500K and currently the practice grosses $485K+ in sales (2014). Profit / net income to the business is estimated to be in excess of $50K (or 12%+ of revenue) which is in line with industry averages. Annual discretionary cash flow earnings to a single new owner, i.e. adjusted EBITDA or doctors gross income, is estimated by the owner to be more than 35%, i.e. ~$185K+ (before any compensation / remuneration), sufficient for a new outright owner to service some debt financing. The estimated value range of this practice from operations is between $230K and $290K (excluding cash, receivables, inventory, liabilities and facilities).
